Children's Healthcare Australasia is a not-for profit association incorporated as a Company Limited by Guarantee, and regulated by the Australian Securities and Investments Commission.
The Constitution outlines the objectives of CHA, eligibility for membership, the conduct of membership meetings, the formation and powers of the Board of Directors, and a range of related corporate governance matters. CHA’s constitution was last revised and updated in November 2011.
CHA is committed to following best practice corporate governance practices. These practices are outlined in a Governance Charter that is reviewed by the Board annually. The Governance charter has 3 main sections which outline:
- the roles responsibilities and accountabilities of the Board and its Directors;
- the role, responsibilities and accountabilities of the Chief Executive Officer;
- a range of organisational policies related to membership, conduct, communications, sponsorship, marketing, risk management and audit.
